About This Policy
This Fees and Vendor Payouts Policy explains the fees that may apply to Vendors using the Daivavarna Marketplace, the manner in which Customer payments may be processed, when Vendor proceeds become eligible for withdrawal, how payouts are made, and how refunds, chargebacks, currency conversion, international transactions, reserves, payment holds, taxes, and other financial adjustments may affect Vendor balances.
Daivavarna operates different commercial models for different Marketplace categories. Certain Vendors, particularly Vendors selling qualifying physical Products, may be charged a percentage commission on Marketplace transactions. Other Vendors, including certain Service Providers, practitioners, Teachers, Hosts, Event participants, Employers, and similar Marketplace participants, may instead pay a fixed monthly, subscription, Listing, membership, or other flat fee.
A Vendor paying a fixed fee may, where supported, elect to receive Customer payments through Daivavarna or an authorized payment provider without automatically becoming subject to a percentage Daivavarna commission. Where the applicable Vendor plan states that Daivavarna’s transaction commission is zero percent, Daivavarna will not impose a percentage Marketplace commission merely because it facilitates payment.
Independent payment-processing and financial-service costs remain separate from Daivavarna’s own Marketplace fees. Unless Daivavarna expressly states otherwise, Daivavarna is not responsible for absorbing card-processing fees, payment-gateway charges, cross-border fees, foreign-exchange costs, banking charges, payout costs, chargeback fees, refund-processing costs, or similar third-party expenses incurred in processing or transferring money for a Vendor.
1. DEFINITIONS
1.1 Marketplace Fee
“Marketplace Fee” means any fee charged by Daivavarna for participation in or use of the Marketplace. A Marketplace Fee may take the form of a percentage commission, monthly subscription, membership fee, Listing fee, Event fee, Employer fee, Accommodation fee, category fee, promotional fee, or another fee disclosed to the Vendor.
1.2 Processing Costs
“Processing Costs” means fees, charges, deductions, or expenses imposed by payment processors, card networks, banks, payment gateways, foreign-exchange providers, payout providers, or other financial intermediaries in connection with receiving, authorizing, capturing, transferring, converting, refunding, disputing, or paying funds.
1.3 Pending Proceeds
“Pending Proceeds” means funds attributable to a Vendor transaction that have been collected, authorized, or processed but have not yet become available for Vendor withdrawal.
1.4 Eligible Proceeds
“Eligible Proceeds” means Vendor proceeds that have satisfied applicable shipment, delivery, Service completion, booking, Customer-protection, fraud, refund, compliance, reserve, payment-provider, and other applicable conditions and are available for payout.
1.5 Daivavarna-Processed Transaction
“Daivavarna-Processed Transaction” means a transaction in which Customer payment is processed through a payment provider authorized, integrated, or otherwise used by Daivavarna.
1.6 Direct-Payment Transaction
“Direct-Payment Transaction” means a transaction in which the Customer pays the Vendor, Service Provider, Host, Event Organizer, Teacher, practitioner, or other approved Provider directly without Daivavarna or its authorized payment provider receiving the Customer payment on behalf of that transaction.
1.7 Vendor
For purposes of this Policy, “Vendor” includes any Seller, Service Provider, practitioner, Teacher, Host, Organizer, Employer, or other Marketplace participant to whom this Policy applies.
2. DAIVAVARNA FEE MODELS
2.1 Different Categories May Use Different Models
Daivavarna is not required to charge every Vendor or Marketplace category using the same fee structure.
The commercial model applicable to a Vendor may depend upon the Vendor’s category, plan, transaction type, subscription, Listing type, volume, payment method, location, or another commercial arrangement disclosed by Daivavarna.
2.2 Percentage-Commission Model
Certain Marketplace categories, particularly qualifying physical Product categories, may be subject to a percentage Marketplace commission.
The applicable percentage shall be stated in the current Daivavarna Fee Schedule or otherwise disclosed to the Vendor before the charge becomes applicable.

2.3 Fixed-Fee Model
Certain categories may instead be subject to a fixed monthly, subscription, membership, Listing, Event, Accommodation, Employer, practitioner, Service Provider, or comparable fee.

2.4 No Automatic Double Charging
A Vendor paying a fixed monthly, subscription, Listing, or comparable fee shall not automatically become subject to a Daivavarna percentage commission merely because the Vendor elects to use Daivavarna-assisted payment processing.
A percentage commission applies only where expressly stated in the applicable Vendor plan, category, Fee Schedule, or other agreed commercial arrangement.
2.5 Separate Fee Schedule
Daivavarna may maintain a separate Fee Schedule setting out current commission percentages, monthly fees, subscription prices, Listing charges, minimum payout amounts, or other monetary terms.
The applicable Fee Schedule forms part of this Policy.
3. PERCENTAGE-COMMISSION VENDORS
3.1 Commission Calculation
Where a Vendor is subject to a percentage Marketplace commission, Daivavarna may deduct the applicable percentage from the transaction amount identified in the Fee Schedule.
3.2 Commission Base
Daivavarna shall specify the amount on which the commission is calculated. Depending upon the applicable plan, this may include the Product price, discounted Product price, certain Vendor-controlled charges, shipping, or another disclosed transaction amount.
3.3 Discounts
Where a Product is sold using a Vendor-funded discount, commission may be calculated using the discounted transaction amount or another basis specified in the applicable Fee Schedule.
3.4 Taxes
Amounts collected solely as taxes for remittance to a governmental authority should not ordinarily be treated as Daivavarna revenue merely because such amounts pass through an integrated payment system, subject to Applicable Law and the final payment-processing architecture.
3.5 Deduction From Vendor Proceeds
Daivavarna may deduct the applicable Marketplace commission before the remaining proceeds become available to the Vendor.
4. FIXED-FEE, SUBSCRIPTION AND LISTING VENDORS
4.1 Fixed Charges
A Vendor assigned to a fixed-fee plan may pay a recurring or one-time amount for Marketplace access, a category, a Listing, a property, an Event, employment advertising, or another Marketplace feature.
4.2 Applicable Categories
Fixed-fee structures may be used for categories including General Services, Ayurveda Practitioners, Astrology Practitioners, Teachers, Classes, Accommodations, Event Organizers, Event Service Providers, Employers, Jobs, or other categories designated by Daivavarna.
4.3 Processing Costs Not Included
Payment of a monthly, subscription, membership, Listing, or other fixed fee does not include unlimited third-party payment-processing services unless the applicable Daivavarna plan expressly states otherwise.
4.4 Renewal
Recurring plans may renew according to the billing period disclosed to the Vendor.
4.5 Cancellation
A Vendor may cancel a recurring plan in accordance with the applicable subscription or account rules.
Cancellation does not eliminate fees, Processing Costs, refunds, chargebacks, negative balances, or other obligations incurred before the cancellation became effective.
4.6 Unpaid Vendor Fees
Daivavarna may restrict Vendor access, new Listings, payment functionality, category privileges, or other Marketplace features where required Vendor fees remain unpaid.
5. DIRECT-PAYMENT TRANSACTIONS
5.1 Permitted Categories
Daivavarna may permit direct Customer-to-Vendor payment in designated categories.
5.2 Daivavarna Does Not Control Direct Payments
For a Direct-Payment Transaction, Daivavarna ordinarily does not receive, hold, transfer, release, or directly control the Customer’s payment.
5.3 Vendor Responsibility
The Vendor remains responsible for collecting the Customer’s payment, providing any legally required receipt, issuing refunds, resolving payment issues, maintaining required records, and satisfying tax or other legal obligations relating to the Direct-Payment Transaction.
5.4 Marketplace Fees May Still Apply
A Vendor using Direct Payment may still owe applicable monthly, subscription, Listing, membership, Event, Accommodation, Employer, or other Daivavarna Marketplace fees.
5.5 External Refunds
Daivavarna generally cannot directly reverse, retrieve, or refund money that Daivavarna did not process.
Daivavarna may nevertheless receive complaints, facilitate communication, investigate conduct, require corrective action, restrict the Vendor’s Marketplace privileges, or take other enforcement action where a Vendor fails to satisfy legitimate obligations.
6. OPTIONAL DAIVAVARNA-ASSISTED PAYMENT PROCESSING
6.1 Availability
Where supported, Daivavarna may permit a Vendor to offer Customers the option of paying through an authorized Daivavarna payment-processing system even where the applicable category also permits Direct Payment.
6.2 International Transactions
Daivavarna-assisted processing may be particularly useful where a Vendor and Customer are located in different countries, where the Vendor does not maintain an independent payment gateway, or where a booking, reservation, Class, Event, or Service benefits from centralized Marketplace payment functionality.
6.3 Fixed-Fee Vendors
Where the applicable Vendor plan provides a fixed Marketplace fee and a zero percent Daivavarna transaction commission, use of Daivavarna-assisted payment processing does not, by itself, create a percentage Daivavarna commission.
6.4 Third-Party Costs Still Apply
Card-processing, payment-provider, banking, international, foreign-exchange, refund, chargeback, payout, or comparable third-party costs may nevertheless apply and may be deducted from Vendor proceeds or otherwise charged to the Vendor.
7. PAYMENT-PROCESSING COSTS
7.1 Separate From Daivavarna Marketplace Fees
Processing Costs imposed by independent financial service providers are separate from Daivavarna’s Marketplace Fee unless expressly included in a particular plan.
7.2 Vendor Responsibility
Unless Daivavarna expressly states otherwise, applicable Processing Costs incurred in connection with receiving, processing, transferring, converting, refunding, or paying money for a Vendor are the Vendor’s responsibility.
7.3 Examples of Processing Costs
Processing Costs may include card-processing charges, payment-gateway fees, bank-transfer charges, cross-border fees, international transaction fees, foreign-exchange costs, payout charges, refund-processing costs, payment-dispute charges, or chargeback fees.
7.4 Deduction
Where technically supported, Daivavarna may deduct Processing Costs from Vendor proceeds before payout.
7.5 Separate Billing
Where deduction from proceeds is unavailable or inappropriate, Daivavarna may charge the Vendor through an authorized billing method.
7.6 Daivavarna Not Required to Subsidize Processing
Daivavarna is not required to subsidize or absorb third-party financial costs incurred for the Vendor’s transaction unless the applicable Vendor plan expressly provides otherwise.
8. INTERNATIONAL AND CROSS-BORDER PAYMENTS
8.1 International Transactions May Involve Additional Costs
Transactions involving Vendors and Customers in different countries may cost more to process than domestic transactions.
8.2 Potential International Costs
International transactions may involve cross-border card charges, international-processing fees, currency-conversion costs, international settlement fees, intermediary-bank fees, correspondent-bank charges, country-specific payout charges, or comparable financial costs.
8.3 Vendor Responsibility
Unless expressly stated otherwise, Daivavarna shall not bear or reimburse independent cross-border costs incurred in collecting, converting, transferring, refunding, or paying Vendor funds.
8.4 Illustrative Example
A Customer located in the United States may purchase an approved Service from a Vendor located in India.
The Vendor’s plan may provide:
Daivavarna Marketplace Commission: 0%
while third-party costs may still arise from card processing, cross-border processing, USD-to-INR conversion, international settlement, or bank payout.
Those independent costs may reduce the Net Vendor Proceeds.
8.5 Transaction Breakdown
Where technically supported, Daivavarna may display a breakdown showing Gross Customer Payment, Daivavarna Marketplace Fee, Processing Costs, foreign-exchange adjustment, refund or dispute adjustments, taxes where applicable, and Net Vendor Proceeds.
9. CURRENCIES AND FOREIGN EXCHANGE
9.1 Supported Currencies
Daivavarna may support Product display, Customer payment, Vendor balances, or Vendor payout in more than one currency.
9.2 Display Currency and Settlement Currency
The currency displayed or charged to the Customer may differ from the currency in which the Vendor ultimately receives the payout.
9.3 Conversion Providers
Foreign-exchange conversion may be performed by a payment processor, bank, card network, payout provider, or another financial institution.
9.4 Exchange Rates
Daivavarna does not guarantee a particular exchange rate unless it expressly does so for a specific transaction or program.
9.5 Conversion Costs
Currency-conversion costs may be deducted from Vendor proceeds or otherwise allocated according to the relevant payment-provider arrangement.
9.6 Refund Exchange-Rate Differences
Where a transaction and subsequent refund involve different currencies, the amount ultimately received by a Customer or Vendor may differ because of exchange-rate movements or independent financial-service costs, subject to Applicable Law.
10. CUSTOMER PAYMENT AUTHORIZATION AND CAPTURE
10.1 Physical Product Orders
For ordinary Product Orders, Customer payment may be captured when the Order is placed or according to the applicable payment-provider workflow.
10.2 Approval-Based Transactions
Accommodations, certain Events, Services, or other approval-based transactions may use a different payment process.
10.3 Temporary Authorization
Where supported, a payment provider may temporarily authorize a Customer’s payment method while a Host, Organizer, Vendor, or Provider decides whether to accept a request.
10.4 Capture After Acceptance
Where technically supported, final payment capture may occur only after acceptance of the request.
10.5 Declined Requests
Where a request is declined before payment capture, the Customer should not be finally charged for the underlying transaction.
A temporary bank or card authorization may nevertheless remain visible for a period determined by the Customer’s bank, card issuer, or payment provider.
11. PENDING VENDOR PROCEEDS
11.1 Payment Does Not Mean Immediate Availability
The fact that a Customer has paid does not automatically make the corresponding Vendor proceeds immediately withdrawable.
11.2 Reasons Proceeds May Remain Pending
Proceeds may remain Pending while Daivavarna awaits shipment, delivery, Service completion, Guest stay, Event occurrence, Customer-protection periods, payment-provider settlement, fraud review, refund exposure, identity verification, compliance review, chargeback review, or another applicable condition.
11.3 Balance Status
Daivavarna may show affected amounts as Pending, On Hold, Awaiting Delivery, Awaiting Completion, Under Review, or another appropriate status.
11.4 No Escrow Representation
Unless Daivavarna later establishes and expressly identifies an arrangement as a legally compliant escrow service, Pending Proceeds shall not be described as formal escrow solely because the Vendor cannot immediately withdraw them.
12. PHYSICAL PRODUCT FUNDS RELEASE
12.1 Delivery Requirement
For qualifying Daivavarna-Processed physical Product transactions, Vendor proceeds may remain Pending until delivery.
12.2 Seven-Day Initial Marketplace Protection Period
After delivery, Vendor proceeds may continue to remain Pending during a seven-day Initial Marketplace Protection Period.
12.3 Typical Transaction Flow
A qualifying physical Product transaction may ordinarily proceed as follows:
Customer Pays → Vendor Ships → Product Delivered → Seven-Day Initial Marketplace Protection Period → Eligible Proceeds
12.4 Customer Problems During the Initial Protection Period
Where a Customer timely reports a credible problem concerning non-delivery, damage, wrong Product, counterfeit Product, material defect, significant misdescription, safety, fraud, or another qualifying issue, Daivavarna may continue to hold affected proceeds while the matter is reviewed.
12.5 Longer Return Period
The seven-day Initial Marketplace Protection Period does not necessarily represent the Customer’s complete return period.
A Product may have a fourteen-day or thirty-day return period even though the Vendor’s proceeds become eligible after the initial seven-day protection conditions have been satisfied.
12.6 Later Refunds
A later qualifying return, refund, chargeback, safety claim, or mandatory Customer right may still result in adjustment or recovery from Vendor balances after funds have become eligible or have been paid.
13. SERVICE PAYMENT RELEASE
13.1 Completion-Based Release
Services are generally governed by completion rather than physical delivery.
13.2 Service Proceeds
Vendor proceeds for a Service may remain Pending until the Service has been substantially completed and any applicable category-specific initial dispute or protection period has expired.
13.3 Evidence of Completion
Daivavarna may consider Provider confirmation, Customer confirmation, booking status, appointment records, deliverables, Marketplace communications, timestamps, or other reasonable evidence when determining whether a Service has been completed.
13.4 Service Disputes
Where a material Service dispute is opened before proceeds become eligible, the affected amount may remain Pending or On Hold during review.
13.5 Different Service Categories
Daivavarna may establish different completion and protection rules for different types of Services where reasonably justified by the nature of the Service.
14. CLASS AND EDUCATIONAL PAYMENT RELEASE
14.1 Classes
Payments for Classes, instruction, workshops, recorded courses, memberships, or other educational offerings may be subject to completion or access-based release rules appropriate to the particular format.
14.2 Live Classes
Live Class proceeds may become eligible after the scheduled Class or applicable portion of a multi-session course has been provided, subject to any applicable dispute period.
14.3 Recorded or Digital Courses
Payment for recorded or digital educational content may become eligible after access is provided, subject to applicable refund, digital-content, fraud, and consumer-right rules.
14.4 Multi-Session Programs
Daivavarna may permit proportional release of proceeds for multi-session programs where technically and commercially appropriate.
15. ACCOMMODATION PAYMENTS
15.1 Available Payment Models
Accommodation Hosts may use Direct Host Payment or Daivavarna-Processed payment where supported.
15.2 Booking Acceptance
For approval-required reservations, payment may be authorized or captured after Host acceptance where technically supported.
15.3 Host Proceeds
Accommodation proceeds may remain Pending until an appropriate point determined by Daivavarna, which may include Guest check-in, Guest checkout, completion of the stay, or expiration of an applicable initial protection period.

15.4 Guest Complaints
Daivavarna may continue holding affected Accommodation proceeds where a Guest credibly reports property unavailability, material Listing misrepresentation, serious safety concerns, severe sanitation issues, Host cancellation, or another qualifying problem.
15.5 Direct Host Payment
Where the Guest pays the Host directly, Daivavarna generally does not control the payment or payout and cannot directly reverse those funds.
16. EVENT PAYMENTS
16.1 Payment Models
Event Organizers may use Direct Payment or Daivavarna-Processed registration, ticket, admission, or Event payments where supported.
16.2 Event Payout Timing
Because Event transactions may create cancellation exposure before the Event occurs, Daivavarna may delay Event proceeds until the Event occurs, cancellation risk materially decreases, an applicable refund period expires, or another reasonable release condition is satisfied.
16.3 Event Cancellation
Where an Event is cancelled before Organizer payout and Customers qualify for refunds, Daivavarna may refund affected Daivavarna-Processed payments from Pending Proceeds.
16.4 Final Event Rules
Daivavarna may establish Event-specific payout rules according to Event size, date, value, cancellation exposure, Organizer history, or other relevant risk characteristics.
17. ELIGIBLE PROCEEDS AND WITHDRAWALS
17.1 Eligibility
Once applicable release conditions have been satisfied, Pending Proceeds may become Eligible Proceeds.
17.2 Vendor Withdrawal
A Vendor may request withdrawal of Eligible Proceeds subject to minimum payout requirements, identity or account verification, reserves, payment-provider restrictions, negative balances, legal holds, security review, and other applicable conditions.
17.3 Vendor Dashboard
Daivavarna may display balances using statuses including Pending, On Hold, Available, Withdrawal Requested, Payout Processing, Paid, Refunded, Disputed, or other appropriate designations.
17.4 Withdrawal Processing
A Vendor withdrawal request initiates the payout process but does not guarantee immediate receipt by the Vendor’s bank or payout account.
17.5 Financial-System Delays
Actual payout timing may depend upon the payment provider, financial institution, Vendor country, currency, banking hours, weekends, holidays, compliance review, payout method, or other matters outside Daivavarna’s reasonable control.
18. AUTOMATIC PAYOUT OF ELIGIBLE PROCEEDS
18.1 Vendor May Leave Funds Available
A Vendor is not required to request withdrawal immediately after proceeds become eligible.
18.2 Automatic Payout
Where operationally, legally, and technically supported, Daivavarna intends to automatically initiate payout of unwithdrawn Eligible Proceeds approximately thirty days after those proceeds become eligible.
18.3 Earlier Withdrawal
A Vendor may request withdrawal before the automatic payout date once proceeds become eligible and applicable payout requirements have been satisfied.
18.4 Exceptions
Automatic payout may be delayed because of verification, reserves, disputes, negative balances, provider restrictions, security review, fraud concerns, legal holds, or other legitimate circumstances.
18.5 Payment Provider Rules
Daivavarna may modify the automatic payout mechanics where required by the payment provider or Applicable Law.
19. PAYOUT ACCOUNTS AND VERIFICATION
19.1 Approved Payout Method
The Vendor must maintain an approved payout account or other payout method supported by Daivavarna or its authorized payment provider.
19.2 Verification
Before receiving payouts, a Vendor may be required to complete identity, business, tax, beneficial-ownership, address, bank-account, or other verification.
19.3 Accurate Information
The Vendor is responsible for providing accurate payout information.
19.4 Account-Holder Information
Daivavarna or its payment provider may restrict payouts where the payout account information does not reasonably correspond with the verified Vendor or otherwise creates fraud, ownership, or compliance concerns.
19.5 Changes to Payout Information
Changes to payout accounts or payment information may trigger additional verification or a temporary payout hold for security purposes.
20. MINIMUM PAYOUTS AND FAILED PAYOUTS
20.1 Minimum Payout Amount
Daivavarna may establish a minimum amount required before a payout may be initiated.

20.2 Small Vendor Balances
Eligible balances below the applicable minimum may remain available until enough proceeds accumulate or another permitted payout method becomes available.
20.3 Failed Payout
Where a payout fails because of inaccurate, invalid, closed, unsupported, or otherwise unusable Vendor banking or payout information, the amount may be returned to the Vendor’s Daivavarna balance after processing.
20.4 Third-Party Failed-Payout Costs
Third-party costs resulting from a Vendor-caused failed payout may be charged to the Vendor where permitted.
20.5 Repeated Failures
Daivavarna may require the Vendor to correct or reverify payout information before another payout attempt is made.
21. REFUNDS AND PAYMENT ADJUSTMENTS
21.1 Customer Refunds
A qualifying Customer refund may reduce Pending Proceeds, Eligible Proceeds, reserves, future proceeds, or other amounts payable to the Vendor.
21.2 Daivavarna Refund Authority
For a Daivavarna-Processed Transaction, Daivavarna may issue a full or partial refund without separate Vendor permission where the Returns, Refunds and Cancellation Policy, another Marketplace Policy, or Applicable Law supports the refund.
21.3 Refund After Vendor Payout
Payment of proceeds to the Vendor does not eliminate a qualifying Customer refund obligation that remains valid.
21.4 Recovery
Where Vendor funds have already been paid, Daivavarna may recover qualifying refund amounts from reserves, future Vendor proceeds, an authorized billing method, or another lawful mechanism provided by the General Vendor Terms and Marketplace Policies.
21.5 Processing Costs on Refunds
Some payment providers do not return all original Processing Costs when a transaction is refunded.
Unless Daivavarna expressly agrees otherwise, unrecoverable third-party Processing Costs relating to the Vendor’s transaction may remain the Vendor’s responsibility.
21.6 Daivavarna Commission Following Refund
Whether Daivavarna returns or retains its own Marketplace commission following a Customer refund shall be governed by the applicable Fee Schedule and the circumstances giving rise to the refund.

22. CHARGEBACKS AND PAYMENT DISPUTES
22.1 Customer Payment Disputes
A Customer may dispute a qualifying transaction through a bank, card issuer, payment provider, or other lawful financial dispute process.
22.2 Vendor Cooperation
The Vendor shall reasonably cooperate with legitimate payment-dispute investigations and provide relevant evidence when requested.
22.3 Payment Reversal
Where a Customer payment is reversed, the corresponding amount may be deducted from Vendor funds or other amounts payable to the Vendor.
22.4 Chargeback Fees
Independent financial providers may impose chargeback or dispute fees.
Such third-party fees may be charged to the Vendor responsible for the affected transaction unless Daivavarna determines otherwise or Applicable Law requires a different result.
22.5 Vendor-Caused Disputes
Repeated chargebacks caused by Vendor fraud, non-delivery, serious misrepresentation, Product problems, unauthorized transactions, or similar misconduct may result in increased reserves, payout delays, payment restrictions, account suspension, or termination.
23. RESERVES AND PAYMENT HOLDS
23.1 Reserves
Daivavarna may establish a reasonable reserve where necessary to address elevated financial risk.
23.2 Circumstances Supporting a Reserve
A reserve may be appropriate because of high refund rates, chargeback activity, long Product production periods, custom Products, high-value Orders, large future bookings, international transactions, Event cancellation exposure, Accommodation reservations, rapid Vendor growth, unusual transaction patterns, fraud concerns, or another legitimate financial-risk factor.
23.3 Reserve Amount and Duration
The amount, duration, and release conditions of a reserve may vary according to the Vendor’s activities and risk characteristics.
23.4 Reserve Not Necessarily Disciplinary
A reserve may be imposed as a financial-risk management measure even where the Vendor has not committed misconduct.
23.5 Payment Holds
Daivavarna may also temporarily hold a particular transaction or payout where necessary because of an active dispute, fraud concern, Product-safety matter, verification issue, legal requirement, or payment-provider instruction.
24. NEGATIVE VENDOR BALANCES
24.1 Creation of Negative Balance
A Vendor account may become negative where refunds, chargebacks, Processing Costs, taxes, fees, currency adjustments, or other valid deductions exceed the Vendor’s available proceeds.
24.2 Vendor Responsibility
The Vendor remains responsible for valid amounts owed.
24.3 Recovery
Daivavarna may recover a negative balance from future Vendor proceeds, reserves, an authorized billing method, or another lawful mechanism permitted by the General Vendor Terms.
24.4 Restrictions
Daivavarna may restrict new sales, payment processing, payouts, Listings, categories, or other Marketplace functionality while a material negative balance remains unresolved.
24.5 Collection
Where permitted by Applicable Law and applicable agreements, Daivavarna may pursue appropriate recovery of amounts properly owed by the Vendor.
25. TAXES AND WITHHOLDING
25.1 Vendor Tax Responsibility
The Vendor remains responsible for determining and satisfying taxes applicable to the Vendor’s business, income, Products, Services, employment, and other activities except where Daivavarna or another party is legally required to collect, report, remit, or withhold a particular amount.
25.2 Marketplace Tax Collection
Daivavarna may collect or remit taxes where Applicable Law requires the Marketplace operator or its payment provider to do so.
25.3 Tax Documentation
Daivavarna or an authorized payment provider may require a Vendor to provide tax identification, certification, taxpayer information, or related documentation.
25.4 Required Withholding
Where Applicable Law requires withholding from Vendor payouts, Daivavarna or its payment provider may withhold the legally required amount.
Such withholding is not a Daivavarna Marketplace Fee.
25.5 Vendor Records
The Vendor remains responsible for maintaining appropriate records concerning the Vendor’s revenue, fees, taxes, expenses, and payouts.
26. PAYMENT PROVIDER REQUIREMENTS
26.1 Independent Payment Providers
Daivavarna may use one or more independent payment providers to process Customer payments and Vendor payouts.
26.2 Additional Provider Terms
A Vendor may be required to accept the payment provider’s applicable terms, complete onboarding, or provide additional verification.
26.3 Provider Restrictions
Payment providers may impose country restrictions, Product or business restrictions, verification requirements, transaction limits, reserve requirements, payout delays, or other controls.
26.4 Provider Decisions
Daivavarna cannot guarantee that a payment provider will approve or continue supporting every Vendor, Product, Service, country, currency, bank account, or transaction.
26.5 Changes in Provider Availability
Daivavarna may change, add, restrict, or discontinue payment providers where operationally or legally necessary.
27. FRAUD, MONEY LAUNDERING AND SUSPICIOUS TRANSACTIONS
27.1 Transaction Review
Daivavarna and its payment providers may review transactions for fraud, money laundering, sanctions concerns, stolen payment methods, account takeover, unusual transaction patterns, identity discrepancies, or other financial or legal risks.
27.2 Payment Restrictions
Transactions may be delayed, rejected, cancelled, refunded, restricted, or held where reasonably required for fraud prevention, compliance, Customer protection, or payment-provider requirements.
27.3 Additional Documentation
A Vendor may be required to provide additional information or documentation before funds are released.
27.4 Prohibited Financial Use
The Vendor shall not use Daivavarna primarily to transfer money unrelated to legitimate Marketplace transactions, process sham or prohibited transactions, launder funds, evade sanctions, conceal unlawful activity, or otherwise misuse Daivavarna’s payment infrastructure.
28. ACCOUNT SUSPENSION OR TERMINATION
28.1 Payment Access
Daivavarna may restrict payment or payout access where reasonably necessary because of fraud, serious Marketplace violations, unpaid balances, chargeback exposure, legal requirements, payment-provider instructions, security concerns, or other substantial risk.
28.2 Outstanding Obligations
Suspension or termination of the Vendor account does not eliminate refunds, chargebacks, taxes, fees, Processing Costs, negative balances, or other amounts properly owed.
28.3 Remaining Vendor Funds
Remaining Vendor funds may be held for a reasonable period where necessary to address outstanding refunds, disputes, chargebacks, legal claims, reserves, provider requirements, or other valid obligations before final payout.
28.4 Final Payout
After applicable obligations have been resolved, remaining Eligible Proceeds may be paid to the Vendor subject to payment-provider and legal requirements.
29. CHANGES TO FEES AND PAYMENT TERMS
29.1 Fee Schedule
Daivavarna may maintain current monetary amounts in a separate Fee Schedule so that changes to prices do not require rewriting every Vendor agreement.
29.2 Prospective Changes
Daivavarna may modify Marketplace fees, payout rules, or payment structures prospectively in accordance with the General Vendor Terms and Applicable Law.
29.3 Notice
Where legally required or reasonably appropriate because of a material change, Daivavarna shall provide Vendors with advance notice before the new fee or payment rule becomes effective.
29.4 Existing Transactions
Daivavarna shall not ordinarily retroactively increase the Daivavarna Marketplace Fee applicable to a transaction that has already occurred, except for legitimate corrections, refunds, chargebacks, taxes, disputes, or other adjustments contemplated by applicable Marketplace Policies.
30. DAIVAVARNA’S FINANCIAL ROLE
30.1 Payment Facilitation
Daivavarna may facilitate Customer payments and Vendor payouts through authorized financial-service providers.
30.2 Daivavarna Is Not the Underlying Vendor
Payment facilitation does not make Daivavarna the Seller, manufacturer, Service Provider, practitioner, Teacher, Host, Event Organizer, Employer, or other person responsible for the underlying Product or Service.
30.3 Vendor Balance Is Not a General Bank Account
A Vendor’s Marketplace payment balance is not intended to function as an ordinary personal bank account or unrestricted general-purpose stored-value account.
30.4 No Escrow Unless Expressly Established
Unless Daivavarna expressly establishes a legally compliant escrow arrangement, Daivavarna does not represent Pending Proceeds as formal escrow funds.
30.5 Non-Waivable Obligations
Nothing in this Policy excludes or transfers responsibilities that Applicable Law independently places upon Daivavarna or an authorized payment provider.
31. VENDOR ACKNOWLEDGMENT
By operating as a Vendor through Daivavarna, the Vendor acknowledges that different Marketplace categories may use different fee models.
The Vendor understands that certain categories may be subject to percentage commissions while other categories may use fixed monthly, subscription, Listing, membership, Event, Employer, Accommodation, or comparable fees.
The Vendor understands that optional use of Daivavarna-assisted payment processing does not automatically create a Daivavarna percentage commission where the applicable Vendor plan provides for a zero percent transaction commission.
The Vendor understands that independent payment-processing costs are separate from Daivavarna’s Marketplace fees.
The Vendor acknowledges that card-processing, gateway, banking, cross-border, international, foreign-exchange, refund, chargeback, payout, and similar third-party costs may be deducted from Vendor proceeds or otherwise charged to the Vendor where permitted by this Policy.
The Vendor specifically acknowledges that Daivavarna is not required to absorb third-party international or cross-border costs incurred in collecting, converting, transferring, refunding, or paying Customer funds for the Vendor.
The Vendor understands that Customer payment does not automatically make Vendor proceeds immediately withdrawable.
The Vendor understands that qualifying physical Product proceeds may remain Pending through delivery and the applicable seven-day Initial Marketplace Protection Period.
The Vendor understands that Services, Classes, Accommodations, Events, and other Marketplace activities may be subject to different completion, protection, cancellation, or release requirements.
The Vendor understands that refunds, chargebacks, Processing Costs, taxes, reserves, negative balances, payment-provider requirements, or other valid adjustments may reduce Vendor proceeds.
The Vendor agrees to comply with this Fees and Vendor Payouts Policy, the General Vendor Terms and Seller Agreement, applicable Supplemental Category Terms, the Fee Schedule, and all other Marketplace Policies applicable to the Vendor’s activities.
